Reviewer's Comments

The BPCC Foundation is an institution-related foundation with separate Articles of Incorporation. The relationship between the institution and the foundation are clearly defined in the BPCC Articles of Incorporation. The BPCC Foundation was created for the purpose and mission of engaging in education, scientific, literary, benevolent, and charitable works exclusively for Bossier Parish Community College.

The BPCC Foundation Articles of Incorporation contain the purpose and corporate powers of the Foundation, but the Off-Site Committee did not have documentation to determine the liability associated with the affiliation. The Off-Site Committee recommends the On-Site Committee review documentation describing the liability associated with the relationship.

Response

The liability of the relationship between Bossier Parish Community College and the BPCC Foundation is outlined by the BPCC Foundation Joint Operating Agreement, approved by the LCTCS Board in October 1999 (October Board Minutes). LCTCS Policy 5.017 Policy on Foundations mandates that the BPCC Foundation maintains BPCC Foundation Articles of Incorporation, BPCC Foundation Bylaws and a BPCC Foundation Joint Operating Agreement. As stated in the Joint Operating Agreement, "Should any substantial misuse of funds or fraudulent activity on the part of the Foundation be discovered, the College may, at its discretion, terminate this agreement."

A letter from the BPCC Foundation President, David Rockett, dated June 21, 2007, further delineates that the BPCC Foundation has an independent status of operation, including all liabilities associated with the operation of the Foundation.

Out of the BPCC Foundation grew the other College foundation, the Cavalier Athletic Foundation. The Cavalier Athletic Foundation Joint Operating Agreement delineates the liability of the relationship between the Cavalier Athletic Foundation and the College. In the event that the agreement is terminated due to misuse of funds or fraudulent activity by the Cavalier Athletic Foundation, the Foundation will be prohibited from using the College name to solicit donations and shall not represent the College to alumni, contributors, or the general public. In accordance with LCTCS Policy 5.017 on Foundations, the Cavalier Athletic Foundation also has Cavalier Athletic Foundation Articles of Incorporation and Cavalier Athletic Foundation Bylaws.
